Kip Terms of Service

1. Agreement
These terms are a contract between you and Kippenhuck Industries Inc., which does business as Kipnetic ("Kipnetic", "we", "us"), for your use of Kip: the desktop application, the web application at https://kip.kipnetic.com, Kip agent access, and related services (together, "Kip"). By creating an account, installing Kip, or starting a trial or subscription, you agree to these terms and to the Privacy Policy. If you use Kip for an organisation, you confirm you are authorised to bind it, and "you" includes that organisation.
2. What Kip is
Kip is an email and calendar client. It connects to email and calendar accounts you already have with Google or Microsoft and lets you read, search, organise and send mail, manage your calendar, and use optional AI features. Kip is not an email provider: your mail continues to live with Google or Microsoft, and their terms continue to apply to your accounts with them.
3. Eligibility and your account
You must be at least 16 and able to form a binding contract. You are responsible for keeping your sign-in secure and for everything done through your account, including by any AI assistant you connect through agent access.
4. Availability during launch
Kip for Microsoft accounts is generally available. Kip for Gmail and Google Workspace accounts is in a limited beta while Google completes its review of Kip. During the beta Google limits the number of people who can connect a Google account (currently 100), access is by invitation, and Google may show a warning screen when you connect. We may end the beta for any Google account if Google requires it.
5. Subscriptions, pricing and payment
Plans. Kip Pro costs US$19 per month or US$190 per year. Founding members pay US$149 per year, and their price stays US$149 at every renewal for as long as their subscription continues without a break. The founding offer is limited to the first 100 members.
Free trial. Every plan, including the founding plan, starts with a 14-day free trial. You give a payment card when you start the trial. If you do not cancel before the trial ends, your subscription starts and you are charged for the first period.
Stripe is the merchant of record. Purchases are sold and processed by Stripe, which acts as the merchant of record through Stripe Managed Payments. Stripe's terms for buyers, shown at checkout, apply to the payment itself; Stripe calculates and collects any sales tax, VAT or GST, and your receipts come from Stripe.
Renewal. Subscriptions renew automatically at the end of each period at the then-current price for your plan until you cancel. We will tell you at least 30 days before any price increase takes effect for you. A founding member's price does not increase while their subscription continues.
Cancellation. You can cancel at any time from Settings > Account or the billing page, and your plan stays active until the end of the period you have paid for.
Refunds. The 14-day free trial is how you try Kip before paying. Apart from it, payments are non-refundable and we do not give credit for partial periods, except where the law requires otherwise. Consumer protection laws in your country still apply.
AI allowance. Each subscription includes a monthly allowance of AI usage. If you use it up, AI features pause until your allowance resets the next month; everything else in Kip keeps working.
Failed payments and lapsed subscriptions. If a renewal payment fails, Kip keeps working normally for 14 days while Stripe retries. If your subscription then remains unpaid, or it ends because you cancelled, your account becomes read-only: you can still read, search and export your mail, but Kip stops syncing new mail and you cannot send mail or use AI features. Renewing restores full use. After 30 days of being read-only, only Settings > Account remains available, where you can renew, export or delete your account. 60 days after your account became read-only, we delete it and its data as described in the Privacy Policy. We will remind you by email before that happens.
6. Your content and the permissions you grant
"Your content" means the mail, calendar and contact data Kip accesses from your connected accounts and anything you create in Kip. You keep all rights in it. You grant Kipnetic a limited licence to process your content only to provide Kip to you, as described in the Privacy Policy, and for no other purpose. You can revoke that access at any time by removing a mailbox, revoking Kip at Google or Microsoft, or deleting your account.
You are responsible for having the right to connect each account you connect. If you connect a work account, your employer's policies may apply.
7. AI features
Kip's AI features generate summaries, drafts, suggestions and answers using third-party AI models. AI output can be wrong, incomplete or inappropriate. Review anything Kip drafts before you send it, and do not rely on AI output for legal, medical, financial or other professional decisions.
Kip's AI does not send email, send invitations or replies to invitations, or change or cancel calendar events on its own: actions the Assistant proposes are shown to you and carried out only when you approve them. AI drafts stay drafts until you send them. Mail rules you create yourself run automatically, as you set them up. You can turn AI off entirely in Settings > AI.
8. Agent access
If you connect an AI assistant to Kip, that assistant acts on your instructions and with the permissions you grant it. With write access turned on, it can organise your mail (for example archive, label, mark read, snooze or move to trash, all of which can be undone) and add calendar events that invite nobody else without asking each time. Anything that sends mail, schedules mail to send later, invites or notifies another person, or changes or cancels an existing event stops for your approval first. You are responsible for what the assistant does. Its provider's terms and privacy policy govern how that provider handles the data it receives.
9. Acceptable use
You will not use Kip to:
- send spam, phishing, malware or unlawful content, or to harass anyone;
- break the law, including anti-spam laws such as Canada's CASL;
- access an account you are not authorised to access;
- probe, scan or test Kip's security without our written permission (report vulnerabilities to support@kipnetic.com instead);
- overload, disrupt, reverse engineer or resell Kip, except as the law expressly allows;
- violate Google's or Microsoft's terms for the accounts you connect.
We may suspend accounts that break these rules, with notice where practical.
10. Desktop application licence
We grant you a personal, non-exclusive, non-transferable licence to install and use the Kip desktop application while you have an active Kip subscription or trial. Kip's software, design and brand are owned by Kippenhuck Industries Inc. Open-source components are licensed under their own terms.
11. Third-party services
Kip depends on Google, Microsoft, OpenRouter and the AI model providers it routes to, Stripe, our email delivery provider and our hosting provider. We are not responsible for their availability or their changes. If a provider withdraws access that Kip depends on (for example, if Google changes its API policies), we may have to change or remove a feature.
12. Changes to Kip and to these terms
We improve Kip continuously and may add, change or remove features. We will give at least 30 days' notice by email or in Kip before a change to these terms that materially reduces your rights takes effect. If you do not agree, you may cancel before it takes effect.
13. Termination and your data
You may stop using Kip at any time. You can export your data and delete your account yourself in Settings > Account on the web. We may suspend or end your access if you materially breach these terms, or if we stop offering Kip, in which case we will give at least 30 days' notice so you can export your data. After your account ends we delete it and its data as described in the Privacy Policy.
14. Disclaimers
Kip is provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that Kip will be uninterrupted or error-free, or that it will never lose data. Your mail remains stored with Google or Microsoft, and Kip is not a backup of it.
15. Limitation of liability
To the extent the law allows, Kipnetic will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to Kip is limited to the amount you paid for Kip in the 12 months before the claim arose. Nothing in these terms limits liability that cannot be limited by law, including for fraud or for the rights consumers have under applicable consumer protection law.
16. Indemnity
If you use Kip for a business, that business will indemnify Kipnetic against third-party claims arising from your content or your breach of these terms.
17. Governing law and disputes
These terms are governed by the laws of the Province of Newfoundland and Labrador and the federal laws of Canada that apply there. The courts of Newfoundland and Labrador have jurisdiction, except that if you are a consumer, you may also bring a claim in the courts where you live, and you keep the protection of the mandatory laws of your country of residence.
18. General
These terms and the Privacy Policy are the entire agreement between you and Kipnetic about Kip. If a provision is unenforceable, the rest remains in effect. Not enforcing a provision is not a waiver. You may not assign these terms without our consent; we may assign them to a successor of our business with notice to you. Business customers may accept our Data Processing Agreement.
